Climate Friendly Bradford on Avon (CFBoA) Special Resolution Meeting
Monday 19th February 2018 7.30 p.m.
Acting on the advice of the Community Interest Company (CIC) regulator a meeting is being called for CFBoA members to vote on a special resolution to delete the statement in the Articles of Association that CFBoA assets are to be passed to Wiltshire Wildlife Trust on the dissolving of CFBoA as a CIC.
The meeting will take place at 7.30 p.m. on Monday 19th February 2018 at The Quakers Meeting House, 1 Whiteheads Lane, Bradford on Avon, BA15 1JU. The advertised monthly talk will follow this short meeting.
If the special resolution is passed, then once the amended articles of association are in the public domain, the way is clear for the regulator to consider our request to pass our assets for the benefit of the community from CFBoA as a CIC to CFBoA reformed as an unincorporated association. Once we have the regulator's determination on the transfer of assets then it will be possible for us to complete the voluntary dissolution of the CIC by submitting a close-down date.
The original Articles of Association did not consider the situation of CFBoA changing back from a CIC to an unincorporated association.
